Conviviality Retail will change its name on completion of the Matthew Clark deal to reflect the broader drinks distribution nature of the business.
The company's shareholders gave their approval to the £200 million deal leaving approval from one of the co-owners of Matthew Clark - Punch Taverns - as the final significant hurdle.
Its shareholders meet on October 1 for a general meeting at which it is expected they will give the deal the go-ahead.
On completion, the enlarged group will drop the Retail part of its name to become Conviviality plc.
Conviviality went public in 2013 and has since bought the Wine Rack chain.
